OEM / PRIVATE LABEL APPLICATION FORM

The undersigned customer acknowledges and agrees that the approved sample, prototype slab, or submitted material referenced above represents the agreed aesthetic characteristics of the product, including but not limited to:

Customer acknowledges and accepts the following: Slight variations in color, veining, pattern movement, background tone, particulate distribution, and finish are inherent and acceptable within normal manufacturing tolerances. Exact duplication of samples, previous production runs, photographs, or competitor materials cannot be guaranteed. Approved samples serve as the standard reference for production; however, final production may contain commercially acceptable variations. Customer is responsible for reviewing and approving all samples prior to production. Once production begins, manufacturer shall not be responsible for claims related to approved aesthetic characteristics including:

Customer acknowledges that products manufactured under OEM or private label programs may vary from future production batches and releases. Manufacturer does not guarantee exact future color continuity unless specifically agreed to in writing. Customer further agrees that: Manufacturer retains the right to reasonable production tolerances. Customer approval of samples constitutes final acceptance of the product appearance standard. Manufacturer shall not be liable for consequential damages, installation costs, labor claims, delays, or replacement costs arising from approved aesthetic variations.

By signing below, the Customer acknowledges that the submitted sample and/or material has been reviewed, inspected, and approved for production. Customer further acknowledges and agrees that all applicable terms, conditions, specifications, limitations, and manufacturing tolerances set forth in the OEM/Private Label Agreement shall remain fully binding and enforceable.
